NEW MEMBER OF THE BOARD APPOINTED IN ACCORDANCE TO AFPFC MPC BY-LAWS

AFPFC MPC welcomes BGen Denie Mar A Clemencia, AFP Finance Center Chief, as new member of the Board of Directors effective February 3, 2025. This appointment was made following a written communication from the Cooperative Development Authority (CDA) NCR Extension Office reiterating the need of the Cooperative to comply with its By-laws regarding a vacancy in the Board of Directors.

The appointment aligns with the provision of AFPFC MPC By Laws Article III, Section 19.a which cites what happens when a vacancy occurs on the Board of Directors due to death, incapacity, removal, or resignation.


According to CDA NCR, “If there are enough remaining members of the Board to form a quorum, they shall fill the vacancy themselves. However, if the remaining members don’t meet the quorum requirement, the General Assembly will step in and fill the vacancy at a regular special meeting. The person chosen to replace the board member will serve only for the rest of the term by the person who left, not a full new term. This ensures that the Board remains functional and continues its work without necessary delays.”


The vacancy resulted from the resignation of former Board of Director, 2LT Alfredo S Antonio (Ret) last year due to health concerns.

BGen Clemencia, who was one of the two names that were nominated for the position, received a vote of majority from the Board of Directors. Prior to his appointment, the new member of the Board previously served as an Ex-Officio Director of AFPFC MPC. His expertise in financial management and outstanding leadership will bring valuable insights and innovation to the Cooperative, further reinforcing AFPFC MPC’s commitment to regulatory compliance and operational excellence.

I will do my best and whatever expertise and talents that I can contribute, rest assured that I will do so for the benefit of our cooperative,” remarked BGen Clemencia during the oath-taking ceremony.
